The terms under which District Zero provides its services.

These Terms and Conditions govern the provision of services by District Zero ("we", "us", "our") to clients ("you", "the client"). By engaging District Zero for any service, you agree to these terms.
District Zero is operated by Shane Garland, Ireland. Registered for VAT purposes where applicable.
District Zero provides the following services:
The specific scope of work for each project is agreed in writing before work commences. Any work outside the agreed scope may be subject to additional charges.
All quotes are provided in writing and are valid for 30 days unless otherwise stated. Acceptance of a quote constitutes an agreement to proceed on the terms set out.

We reserve the right to pause work on a project where invoices are overdue. Invoices not settled within 30 days of the due date may incur a late payment charge.

Delays caused by the client may affect delivery timelines. We are not liable for delays resulting from late supply of materials or feedback.
Your content: You retain ownership of all content, images, logos, and materials you supply to us.
Completed work: On receipt of full payment, ownership of the final deliverable (website, design files, etc.) transfers to you, except where otherwise agreed in writing.
Our tools and frameworks: Underlying code frameworks, development tools, and proprietary systems used to build your project remain the property of District Zero. This includes our AI chatbot infrastructure — clients receive a fully deployed solution, not the underlying codebase.
Portfolio rights: We reserve the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing prior to project completion.
Our AI chatbot service uses the OpenAI API. By using a chatbot we have built for you, you agree to comply with OpenAI's usage policies.
The chatbot infrastructure, system prompts, and knowledge architecture remain proprietary to District Zero. Clients receive a managed, deployed solution.
We make reasonable efforts to ensure chatbot accuracy, but we do not guarantee that all responses will be error-free. You are responsible for reviewing chatbot behaviour before deploying it to your customers.
Where we manage hosting or third-party services on your behalf, we act as an intermediary. We are not liable for downtime, data loss, or service changes caused by third-party providers.
You are responsible for maintaining your own backups of website content unless a backup service has been explicitly agreed as part of our engagement.
To the maximum extent permitted by Irish law, District Zero's total liability for any claim arising from our services is limited to the amount paid for the specific service giving rise to the claim.

We make no guarantees of specific search engine rankings or positions. SEO results depend on many factors outside our control, including search engine algorithm changes, competitor activity, and the quality of your website content.
Our Phased SEO service is delivered in distinct phases. Each phase is paid for separately. You own all work produced at the end of each phase.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the working relationship.
You may cancel a project at any time by written notice. In the event of cancellation:
These Terms and Conditions are governed by the laws of Ireland. Any disputes arising from our services shall be subject to the exclusive jurisdiction of the Irish courts.
We may update these Terms and Conditions from time to time. The current version is always available on this page. Continued engagement with our services following any update constitutes acceptance of the revised terms.
